Terms of Service

Last updated: October 2026

Please read these Terms carefully before using The Carrier Playbook. By creating an account or using the Service, you agree to be bound by them.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "User," or "Customer") and Rolondo Thomas Enterprise, LLC d/b/a Carrier Playbook ("Company," "we," "us," or "our"), governing your access to and use of the website located at carrierplaybook.com, together with all related content, features, applications, and services (collectively, the "Service").

By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are entering into these Terms on behalf of a company, motor carrier, or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Description of the Service

The Service provides general educational information and reference content for individuals and businesses operating or seeking to operate as motor carriers, including but not limited to information regarding federal motor carrier regulations, carrier setup, insurance, factoring, fuel management, driver qualifications, compliance topics, and related subject matter. Content is delivered through text-based responses, pre-recorded and AI-generated avatar video content, and downloadable resources.

The Company reserves the right, at its sole discretion, to modify, suspend, or discontinue the Service, or any part of it, at any time and without liability to you, including the content, features, availability, and pricing of the Service.

3. Not Professional, Legal, Financial, or Regulatory Advice

THE SERVICE IS PROVIDED SOLELY FOR GENERAL EDUCATIONAL AND INFORMATIONAL PURPOSES. IT DOES NOT CONSTITUTE LEGAL, FINANCIAL, TAX, INSURANCE, ACCOUNTING, OR OTHER PROFESSIONAL ADVICE, AND NO PROFESSIONAL-CLIENT RELATIONSHIP OF ANY KIND IS CREATED BETWEEN YOU AND THE COMPANY BY YOUR USE OF THE SERVICE.

Content available through the Service, including any answers generated by artificial intelligence systems or delivered via avatar video, may be incomplete, generalized, outdated, or inapplicable to your specific circumstances, and regulations governing motor carriers are subject to frequent change at the federal, state, and local level.

You are solely responsible for independently verifying any information obtained through the Service with the applicable regulatory agency (including but not limited to the Federal Motor Carrier Safety Administration), a licensed attorney, a licensed insurance producer, a certified public accountant, or other qualified professional before relying upon it or taking any action, including any action affecting your operating authority, safety rating, contracts, or finances.

The Company expressly disclaims any responsibility or liability for actions taken or not taken by you in reliance on content provided through the Service.

4. Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract to use the Service. The Service is intended for business and commercial use by individuals and entities involved or seeking involvement in the operation of commercial motor vehicles, and is not directed at, and should not be used by, individuals under the age of 18.

5. Account Registration and Security

To access most features of the Service, you must register for an account and provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you.

You agree to notify the Company immediately of any unauthorized use of your account or any other breach of security. The Company is not liable for any loss or damage arising from your failure to safeguard your account credentials.

Accounts are limited to use by a defined number of concurrent sessions/devices as specified in the Service's then-current plan terms. The Company reserves the right to terminate sessions that exceed this limit without notice.

6. Subscription Plans, Billing, and Payment

The Service is offered on a paid subscription basis across multiple tiers, each with associated pricing, billing frequency (including monthly and multi-month terms), and usage limitations (including daily question limits) as described on the Service at the time of purchase.

No Free Trial: Except as otherwise expressly stated in writing by the Company, the Service does not include a free trial, and payment is required at the time of subscription.

Automatic Renewal: Subscriptions automatically renew at the end of each billing period at the then-current price for the applicable plan, unless cancelled prior to the renewal date in accordance with Section 7.

Payment Processing: All payments are processed by a third-party payment processor (currently Stripe, Inc.). The Company does not store your full payment card information. By providing payment information, you authorize the Company and its payment processor to charge the applicable fees to your designated payment method on a recurring basis.

Price Changes: The Company reserves the right to change subscription pricing at any time, with such changes taking effect no earlier than your next renewal date and with reasonable notice provided where required by law.

Taxes: You are responsible for any applicable sales, use, or similar taxes associated with your subscription, which may be calculated and collected at checkout.

7. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or the Company's designated billing management portal. Cancellation will take effect at the end of your then-current billing period, and you will retain access to the Service through the end of that period.

EXCEPT AS SET FORTH BELOW OR AS EXPRESSLY REQUIRED BY APPLICABLE LAW, ALL FEES ARE NON-REFUNDABLE, INCLUDING FOR PARTIAL BILLING PERIODS, UNUSED QUESTIONS OR ALLOWANCES, OR VOLUNTARY CANCELLATION FOR ANY REASON, INCLUDING DISSATISFACTION WITH THE SERVICE.

Limited Exception - Verified Technical Failure: The Company will consider a refund, in whole or in part and at its sole discretion, only where you can demonstrate a verified technical failure directly attributable to the Company - for example, being charged for a subscription without being granted corresponding account access, or a sustained, documented outage of the Service materially preventing your use of it during a period you were charged for. Requests must be submitted to the Company's support contact within a reasonable time of the billing event giving rise to the request, and the Company may require reasonable documentation to evaluate the request.

Not Covered: This exception does not extend to general dissatisfaction with the Service, disagreement with the accuracy or applicability of content, changes in your business needs, failure to use the Service during a paid period, or issues caused by third-party services, your own equipment, or your internet connectivity.

8. Acceptable Use

You agree that you will not, and will not permit any third party to:

The Company reserves the right to investigate and take appropriate action against anyone who violates this section, including suspending or terminating the violator's account without refund and, where warranted, referring the matter to law enforcement.

9. Intellectual Property Rights

The Service, including all text, graphics, video content, avatar likenesses, audio, software, knowledge base content, downloadable resources, calculators, trademarks, logos, and the compilation and arrangement thereof (collectively, the "Company Content"), is owned by the Company or its licensors and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Company Content solely for your own internal business purposes. No other rights are granted, and all rights not expressly granted are reserved by the Company.

Downloadable resources (including PDF guides, checklists, and spreadsheet tools) are licensed to you for your own internal use only and may not be redistributed, resold, publicly posted, or provided to any third party who is not authorized to access the Service.

10. Questions and User Submissions

When you submit a question or other input to the Service, you grant the Company a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable license to use, reproduce, modify, and incorporate that submission (in whole, in part, or in de-identified/aggregated form) into the Service, including the knowledge base, for the purpose of operating, improving, and expanding the Service.

You represent that any information you submit does not violate the rights of any third party and does not include any information you are not lawfully permitted to disclose.

11. Third-Party Services

The Service relies on and integrates with certain third-party service providers, including but not limited to payment processing (Stripe, Inc.), cloud storage and hosting (Cloudflare, Render), artificial intelligence processing (Anthropic), avatar video generation (HeyGen), and transactional email delivery (Resend). The Company is not responsible or liable for any failure, outage, error, or security incident originating from these third-party providers, though the Company will use commercially reasonable efforts to address any such issues affecting the Service.

12. Disclaimer of Warranties

THE SERVICE AND ALL COMPANY CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR CURRENT, OR THAT ANY DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you in full. In such jurisdictions, the Company's warranties are limited to the minimum extent permitted by applicable law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any action you take, or fail to take, in reliance on content provided through the Service; or (e) your violation of any rights of a third party.

15. Dispute Resolution; Binding Arbitration; Class Action Waiver

Agreement to Arbitrate. Except as expressly provided below, any dispute, claim, controversy, or cause of action arising out of or relating to these Terms of Service, the Carrier Playbook website, products, services, subscriptions, content, purchases, communications, or the relationship between you and Rolondo Thomas Enterprise, LLC d/b/a Carrier Playbook ("Carrier Playbook"), including any dispute concerning the formation, validity, interpretation, enforceability, performance, breach, or termination of these Terms, shall be resolved exclusively through final and binding arbitration rather than in court.

This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16 ("FAA"), to the maximum extent applicable. To the extent state law is applicable, the parties agree that Texas law shall govern the interpretation and enforcement of this arbitration agreement, except to the extent preempted by the FAA or other applicable federal law.

Arbitration Administrator and Rules. The arbitration shall be administered by the American Arbitration Association ("AAA") under the AAA Commercial Arbitration Rules and Mediation Procedures then in effect, except as those rules are modified by these Terms. The current AAA rules and applicable fee schedules are available from the AAA. The parties agree that the AAA's rules are incorporated into this arbitration agreement to the extent they are consistent with these Terms and applicable law.

Individual Arbitration Only. The arbitration shall be conducted solely on an individual basis. You and Carrier Playbook expressly agree that neither party shall participate in or bring an arbitration on a class, collective, consolidated, representative, private-attorney-general, or other similar basis, except where such a waiver is prohibited by applicable law.

Neither you nor Carrier Playbook may seek or participate in class-wide, collective, consolidated, or representative arbitration. Unless both parties expressly agree otherwise in writing, the arbitrator shall have no authority to combine or aggregate claims of different persons or conduct any proceeding involving more than one claimant or respondent.

The parties acknowledge that this individual-arbitration requirement is a material part of their agreement to arbitrate and that the parties are voluntarily choosing individualized arbitration as the method for resolving disputes.

Class Action Waiver. To the fullest extent permitted by applicable law, you and Carrier Playbook each waive the right to bring or participate in any class action, class arbitration, collective action, representative action, or other proceeding in which either party seeks relief on behalf of or together with other persons based upon substantially similar claims.

This waiver is intended to be enforced to the fullest extent permitted by the Federal Arbitration Act and applicable law. Consistent with applicable FAA precedent, the parties agree that arbitration is a matter of individual consent and that no party may be compelled to participate in class arbitration absent an express written agreement to do so.

If a court determines that applicable law prohibits enforcement of this class-action waiver with respect to a particular claim or remedy, that claim or remedy shall proceed only to the extent required by applicable law, and the remainder of this arbitration agreement shall remain enforceable to the fullest extent permitted by law.

Location / Seat of Arbitration. Unless the parties agree otherwise in writing, the arbitration shall be conducted remotely by videoconference or telephone, or, if an in-person hearing is required, in Dallas County, Texas, or at another location mutually agreed upon by the parties and the AAA.

For purposes of judicial proceedings relating to the arbitration, including an action to compel arbitration, confirm an arbitration award, or vacate an award where permitted by law, the parties consent to the jurisdiction of the state and federal courts located in Dallas County, Texas, subject to applicable jurisdictional requirements.

Arbitrator. The arbitration shall be conducted by one neutral arbitrator selected and appointed in accordance with the applicable AAA rules. The arbitrator shall have authority to award any individual relief or remedy that would be available to that party in a court of competent jurisdiction under applicable law, but shall have no authority to award relief that would be unavailable under these Terms or applicable law.

The arbitrator shall apply applicable substantive law and shall provide a written decision stating the disposition of the claims and, upon request of either party, the essential findings and conclusions supporting the award.

Allocation of Arbitration Costs. The parties shall initially be responsible for arbitration filing, administrative, and arbitrator fees in accordance with the applicable AAA rules and fee schedule. However, nothing in these Terms requires a party to pay fees or costs that applicable law prohibits that party from being required to pay.

Where applicable law permits the arbitrator to allocate arbitration costs, the arbitrator may allocate such costs between the parties in accordance with applicable law, the AAA rules, and the circumstances of the dispute.

Each party shall ordinarily bear its own attorneys' fees and costs unless applicable law, the applicable AAA rules, or a written agreement between the parties provides otherwise. Nothing in this provision limits a party's right to seek an award of attorneys' fees or costs when such an award is authorized by applicable law.

Small Claims Court Exception. Notwithstanding the foregoing, either party may bring an individual claim in a small-claims court having jurisdiction over the dispute if the claim qualifies for that court and remains within that court's jurisdiction. If either party brings an eligible claim in small-claims court, the arbitration proceeding for that individual claim shall be stayed or dismissed as appropriate.

Court Proceedings to Enforce Arbitration. Either party may seek temporary, preliminary, or other appropriate equitable relief from a court of competent jurisdiction when necessary to preserve the status quo, protect confidential information, protect intellectual property, prevent unauthorized access to computer systems or data, or prevent irreparable harm while arbitration is pending. Seeking such relief shall not waive the right to arbitration of the underlying dispute.

Severability. If any portion of this arbitration agreement or class-action waiver is determined to be unenforceable, invalid, or contrary to applicable law, that portion shall be severed or limited to the minimum extent necessary, and the remaining provisions shall remain in full force and effect to the fullest extent permitted by law. However, if applicable law prohibits enforcement of the individual-arbitration requirement or class-action waiver in a manner that cannot legally be severed, the affected portion shall not be enforced, and the remaining portions of this arbitration agreement shall remain enforceable to the extent permitted by law.

No Waiver of Statutory Rights. Nothing in this provision is intended to waive any right or remedy that cannot lawfully be waived under applicable federal or state law. Nothing in this provision prevents a party from filing a complaint or charge with a governmental or regulatory agency when applicable law permits such a filing notwithstanding an arbitration agreement.

Jury Trial Waiver. To the extent a dispute is determined not to be subject to arbitration and proceeds in court, the parties knowingly and voluntarily waive, to the fullest extent permitted by applicable law, any right to a trial by jury.

Survival. This Dispute Resolution; Binding Arbitration; Class Action Waiver provision shall survive the termination, cancellation, expiration, or completion of these Terms and any relationship between you and Carrier Playbook.

16. Termination

The Company may suspend or terminate your access to the Service, in whole or in part, at any time, with or without cause, with or without notice, including for violation of these Terms, non-payment, or suspected fraudulent or abusive activity.

Upon termination, your right to access and use the Service will immediately cease, and the Company shall have no obligation to refund any fees already paid, except as set forth in Section 7 or as required by applicable law.

Sections of these Terms which by their nature should survive termination (including but not limited to Sections 9, 10, 12, 13, 14, 15, and 18) shall survive any termination of these Terms or your account.

17. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Subject to Section 15 above, any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of such courts.

18. Modifications to These Terms

The Company reserves the right to modify these Terms at any time in its sole discretion. If changes are material, the Company will provide reasonable notice, which may include posting an updated version of these Terms on the Service with a revised "Last Updated" date, or via email to the address associated with your account. Your continued use of the Service after any such changes take effect constitutes your acceptance of the revised Terms.

19. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by the Company on the Service, constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver: The Company's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without the Company's prior written consent. The Company may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

Force Majeure: The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, internet or utility failures, or third-party service provider outages.

Independent Contractors: Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between you and the Company.
